Terms

  1. This quote is only valid for your company. This quote is not to be shared with any other company or other subcontractor.
  2. This quote is based on Knife River – South Dakota’ mix designs. Any request to deviate from that mix design from any party will require a price adjustment.
  3. Invoices are due and payable net 30 days from receipt of materials. Past due invoices are subject to 1 1/2% per month service charge.
  4. Basis for payment will be scale weights at plant of origin with no allowance for moisture or stockpile loss.
  5. Any tax or other charge imposed during the period hereby covered by State or Federal Law upon the manufacture, sale, and/or transportation of the product herein specified shall be added to the price stated and paid by the Buyer.
  6. All orders accepted are subject to delay caused by fire, flood, accidents, strikes, differences with employees, shortage of transportation units, embargoes, war, government action (civil or military), or any other cause interfering with production, transportation, or delivery of the goods herein described, or any other contingency over which we have no control, and Seller shall not be liable for any damages resulting therefrom.
  7. Shipments shall be equally distributed during the time designated. If Buyer fails to take material within the time agreed, the Seller reserves the right to extend the time, but shall not be obligated to do so.
  8. All material furnished under this contract will comply with specifications in connection with the construction project involved. Inspection and acceptance, if any, must be made at plant of Seller prior to shipment.
  9. The Seller reserves the right, but shall not be obligated to, furnish material from a shipping point other than the one specified herein but agrees that if a change is made in point of origin, there shall be no increase in the delivered cost to Buyer.
  10. If Buyer under this contract elects to sublet all or part of any project described herein, he may do so with the understanding that this contract is still binding on him and that he must purchase such materials for the use of the subcontractor. With Seller’s prior written permission, this contract may be transferred to the subcontractor.
  11. All tests and analyses performed at the request of the Buyer or contracting party or their agents are to be performed at Buyer’s expense.
  12. If the credit of the Buyer, at any time, in the sole judgement of the Seller become impaired, the Seller may decline to make further deliveries, except after payment for shipments already made and cash payments in advance for additional shipments or deliveries.
  13. It is further agreed that if suit is brought to collect the purchase price herein provided for, that the Buyer will pay to the Seller, in additions to the purchase price herein fixed, a reasonable attorney’s fee.

  15. Acceptance of this agreement will indicate your compliance with the applicable requirements of Executive Order No. 11246 as amended, and the regulations issued by the Secretary of Labor in Chapter 60 or Title 41 of the Code of Federal Regulations relating to Equal Employment Opportunity.
  16. Prices based on normal delivery hours.
